PLEASE READ THIS DOCUMENT CAREFULLY BEFORE ACCESSING OR USING THE SITE. BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS SET FORTH BELOW. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR USE THE SITE. SEO WEB Analyst® MAY MODIFY THIS AGREEMENT AT ANY TIME, AND SUCH MODIFICATIONS SHALL BE EFFECTIVE IMMEDIATELY UPON POSTING OF THE MODIFIED AGREEMENT ON THE SITE. YOU AGREE TO REVIEW THE AGREEMENT PERIODICALLY TO BE AWARE OF SUCH MODIFICATIONS AND YOUR CONTINUED ACCESS OR USE OF THE SITE SHALL BE DEEMED YOUR CONCLUSIVE ACCEPTANCE OF THE MODIFIED AGREEMENT.

Indemnification

Termination
We reserve the right to suspend or terminate access to the Site at our discretion, without prior notice, for violations of these Terms.
Refunds & Cancellations
Purchases and subscriptions for SEO Web Analyst® are subject to our Return and Cancellation Policy, available at https://seowebanalyst.com/refund-policy. By using our services, you agree to that policy as part of these Terms of Service.
Governing Law
These Terms are governed by the laws of Nigeria. Disputes may be resolved through Nigerian courts or agreed arbitration.
Independent Contractor Status & Tax Indemnity
1.1 No Employment Relationship: The SWA Manager is an independent contractor and not an employee, agent, joint venturer, or partner of [Tekk-Bastion Services Limited/seowebanalyst.com]. Participation in the SWA Academy and subsequent certification does not constitute an offer of employment or become a SWA Manager with seowebanalyst.com.
1.2 Tax Responsibility: The SWA Manager acknowledges and agrees that they are solely responsible for all taxes, including but not limited to Personal Income Tax, Value Added Tax (VAT), and any other statutory levies arising from the fees earned ($10/hr or equivalent) through the platform.
1.3 No Benefits: The SWA Manager is not entitled to any employee benefits, such as paid leave, health insurance, pension contributions (PENCOM), or any other benefits typically associated with an employer-employee relationship.
1.4 Indemnification: The SWA Manager agrees to indemnify and hold [Tekk-Bastion Services Limited] harmless from any claims, assessments, or penalties made by the Nigeria Revenue Service (NRS) or any State Internal Revenue Service (SIRS) regarding the Manager’s tax obligations or employment status.
Independent Certified SWA Managers & Account Security
1.1 Independent Marketplace: SEO Web Analyst platform provides an ecosystem where users can connect with independent, Certified SWA Managers for account setup, maintenance, and premium consultations. SWA Managers are independent contractors, not employees, agents, or partners of SEO Web Analyst. All financial transactions for premium support are processed strictly through the platform at the fixed system rate.
1.2 User Security Responsibility: Users may choose to share temporary login credentials with a Certified SWA Manager to facilitate setup. By doing so, the user assumes 100% of the risk. To mitigate this risk, users are highly encouraged to enable Two-Factor Authentication (2FA) to control access and are strictly required to change their passwords immediately upon completion of the manager's task. SEO Web Analyst is not liable for any unauthorized changes, data loss, or damages resulting from credential sharing.
1.3 Off-Platform Activities and Communication: All interactions, communications, consultations, and financial transactions between users and Certified SWA Managers must take place strictly within the SEO Web Analyst platform ecosystem. If a user chooses to communicate or conduct business with an SWA Manager outside of the official platform channels (including but not limited to external email, messaging apps, or third-party tools), this activity is deemed completely outside the SEO Web Analyst environment. Consequently:
- 1.3.1 No Platform Liability: SEO Web Analyst assumes zero responsibility for off-platform engagements.
- 1.3.2 Rejection of Claims: SEO Web Analyst will automatically reject any user claims, dispute reviews, or direct requests for a manager's identity data arising from off-platform interactions.
- 1.3.3 Legal Exceptions: In compliance with applicable legal rules, SEO Web Analyst will only disclose a manager's offline verification data for off-platform disputes if formally ordered to do so by a valid, legally binding request from authorized law enforcement or judicial authorities.
90-Day Strict Dispute Window & Chat Data Deletion
1.1 Filing a Dispute: If a dispute arises regarding a consultation or setup service, the user must submit a formal dispute with credible proof via the platform within exactly ninety (90) days from the completion of the task. Upon filing, the SWA Manager will be required to submit counter-proof before a resolution review is conducted.
1.2 Post-90-Day Policy: For privacy compliance and server security, all chat logs, messages, and shared files are permanently and irreversibly deleted from our active servers ninety (90) days after the communication occurs. SEO Web Analyst cannot review, mediate, or provide internal evidence for any claims raised after this 90-day window. In major or severe legal matters arising after 90 days, SEO Web Analyst will only cooperate via formal legal channels and will disclose available offline manager verification details exclusively to registered law enforcement or official judicial authorities.
Reseller Program Terms
2.1 Program Overview: The SEO Web Analyst® Reseller Program (the “Reseller Program”) allows eligible partners (“Resellers”) to offer access to the SEO Web Analyst® platform to their own end‑users under their own brand and pricing structure, while SEO Web Analyst® remains the underlying service provider. Participation in the Reseller Program is optional and does not create any exclusive territory, agency, or employment relationship between the Reseller and SEO Web Analyst®.
2.2 White‑Label Style Offering & Independent Pricing: Resellers are permitted to package, market, and price the SEO Web Analyst® services to their own users at rates determined solely by the Reseller. SEO Web Analyst® does not control or guarantee the Reseller’s retail prices, margins, or commercial offers to their customers. The Reseller is fully responsible for any promises, pricing, discounts, or representations made to their own users.
2.3 Daily-Metered Dashboard Access Fees: SEO Web Analyst® charges Resellers on a Daily Metered Dashboard access basis for actual dashboard access once a day. A flat usage charge is triggered only once per calendar day upon a user's initial dashboard access, regardless of the number of subsequent logins within that same 24-hour cycle. These platform fees are billed monthly to the Reseller based on active accounts, feature-gated metrics, and dashboard access history. These fees are entirely separate from any amounts the Reseller charges its own users. The Reseller remains strictly liable to SEO Web Analyst® for all accumulated dashboard access fees incurred under their reseller account, regardless of whether the Reseller has successfully collected payment from its own end users.
2.3.1 Feature-Gated Entry-Point Pricing: The daily-metered dashboard access fee applies once per selected entry point used to access the platform’s tools, whether that entry point is the standalone Broken Link Auditor or the general dashboard access environment. The fee is the same for either option. If the Reseller removes the Broken Link Auditor, the dashboard access environment becomes the entry point at the same daily rate. In either case, access to other tool dashboards remains subject to their respective daily dashboard fees upon first access each day.
2.4 Enrollment Rights and Ongoing Eligibility: Enrollment into the Reseller Program grants the Reseller the right to participate in the program and to access the associated reseller features only while the Reseller remains in good standing and up to date with all applicable payments and obligations. A mandatory, non-refundable, and renewable yearly subscription renewal fee is required to maintain program access. This annual payment grants the right to participate in the program but does not create a perpetual entitlement to reseller status or ongoing access to reseller features if the Reseller fails to meet their continuing financial or operational obligations.
2.5 Suspension and Termination for Non‑Payment: If a Reseller fails to pay their monthly accumulated daily-metered dashboard access fees, annual renewal fees, or any other amounts due, SEO Web Analyst® may, at its sole discretion, immediately suspend or terminate the Reseller’s access to the Reseller Program and the SEO Web Analyst® platform. Suspension or termination for non‑payment will result in an immediate loss of access to all reseller features, white-label dashboards, and underlying data services for both the Reseller and their linked end‑users. To reinstate a suspended or terminated account, the Reseller shall be required to clear all outstanding balances and pay a new, non-refundable enrollment fee, subject to applicable law.
2.6 Independent Contractor & Relationship: Resellers operate as independent contractors and are not employees, agents, partners, joint venturers, or franchisees of SEO Web Analyst®. Resellers have no authority to make representations, warranties, or commitments on behalf of SEO Web Analyst®, or to bind SEO Web Analyst® in any way, unless explicitly authorized in a separate written agreement.
2.7 Intellectual Property, Source Code Protection, and White-Label Restrictions: All right, title, and interest in and to the SEO Web Analyst® platform, including but not limited to its proprietary software, source code, dashboard user interfaces (UI), underlying database architectures, data processing algorithms, document libraries, and educational training methodologies, remain the exclusive property of SEO Web Analyst®. Granting white-label access to a Reseller allows only the superficial customization of brand visual indicators (such as logos and color schemes) for client-facing presentation. It does not transfer any ownership, copyright, or intellectual property rights to the Reseller. The Reseller is strictly prohibited from reverse-engineering, decompiling, copying, mirroring, or attempting to extract the underlying source code of any dashboard, auditor tool, or platform feature. Any breach of this section shall result in immediate termination of account access without refund and immediate legal action for damages.
2.8 Customer Relationship, Data Operations, and Platform Authority: For the purposes of software execution, security licensing, and platform infrastructure operations, all end-user accounts created on the SEO Web Analyst® platform are governed by the operational authority of SEO Web Analyst®. SEO Web Analyst® retains all rights to the platform infrastructure, its core intellectual property, and all underlying system data stored within the service, subject to applicable Privacy Policies and data-processing laws. However, the commercial and direct client relationship with the end-user remains the domain of the Reseller. The Reseller is strictly prohibited from misrepresenting ownership of the underlying software infrastructure, copying data architectures, or claiming proprietary intellectual property rights over the SEO Web Analyst® engine, core system dashboards, or brand assets.
2.9 Payments, Commissions, and Taxes: Any commissions, discounts, or other commercial terms for Resellers are governed by the specific reseller agreement or program documentation applicable at the time of enrollment. Resellers are solely responsible for reporting and paying all taxes, levies, and statutory charges arising from any commissions, mark‑ups, or income they earn through the Reseller Program, and agree to indemnify SEO Web Analyst® from any claims related to their tax obligations.
2.10 No Performance or Revenue Guarantees: SEO Web Analyst® does not guarantee any specific number of leads, customers, revenue, or profitability to any Reseller. Business results depend on the Reseller’s own efforts, market conditions, and external factors beyond the control of SEO Web Analyst®. The platform and any reseller tools are provided “AS IS,” without any guarantee of commercial success.
2.11 Use of Brand and Marketing Materials: Resellers may use SEO Web Analyst® trademarks, logos, and approved marketing assets solely in accordance with our brand guidelines and only for the purpose of promoting the SEO Web Analyst® platform. Any unauthorized, misleading, or harmful use of the brand, including use in illegal or unethical campaigns, is strictly prohibited and may result in immediate termination from the Reseller Program.
2.12 Liability Limitation for Reseller Activities: To the maximum extent permitted by law, SEO Web Analyst® is not liable for any statements, promises, guarantees, or representations made by Resellers that go beyond or conflict with our official documentation, Terms of Service, or marketing materials. Resellers agree to indemnify and hold SEO Web Analyst® harmless from any claims, losses, or damages arising from their independent marketing, sales practices, pricing decisions, or misuse of the platform.
2.13 Changes to Reseller Program: SEO Web Analyst® may modify, suspend, or discontinue the Reseller Program, or update the applicable terms, at any time. Continued participation in the Reseller Program after such changes become effective will constitute the Reseller’s acceptance of the updated terms.
Content Lifecycle and Automatic Removal (Blog Curator)
3.1 Content Ownership and Responsibility: You retain ownership of the content you create and publish using the Blog Curator feature. However, you are solely responsible for ensuring that your content remains accurate, up‑to‑date, and compliant with applicable laws, regulations, and these Terms, including all guidelines and policies referenced herein.
3.2 Content Freshness Requirement: To maintain a high‑quality, relevant network of blogs and to protect overall organic performance across the SEO Web Analyst® platform, we apply a content freshness policy to Blog Curator posts. Content that is not maintained or refreshed over time may be treated as outdated or expired and may be subject to removal as described in this section.
3.3 Automatic Removal of Stale Posts: We may permanently remove posts created through the Blog Curator feature if all of the following conditions are met: (a) the post is more than five (5) years old based on its original publication date; (b) the post has not been meaningfully updated or refurbished within the last five (5) years (for example, by using any “Refurbish,” “Republish as New,” or similar tools, or by editing the content in a substantial way); and (c) your subscription for the relevant workspace, account, or site is inactive, expired, suspended, or otherwise not in good standing.
3.4 Effect of Refurbishing and Updating: When you refurbish or update a post using the tools provided within the Blog Curator (including, without limitation, editing the content or using any “Refurbish / Republish as New” functionality), the freshness period for that post is reset. Posts that have been refurbished or recently updated in this manner are not subject to deletion under the content freshness policy described in Section 3.3 for so long as they continue to be actively maintained.
3.5 No Archive or Permanent Storage Guarantee: The Blog Curator is intended for active, maintained content and is not a permanent content archive or long‑term backup solution. We do not guarantee that any post, file, or other content will remain available indefinitely, and we will not be liable to you or to any third party for the removal of posts that qualify as stale or expired under this content lifecycle policy, or for any loss of data arising from such removal.
3.6 Notice, Warnings, and Your Responsibilities: Where reasonably feasible, we may provide in‑product notices, labels, or dashboard indicators to help you identify posts that are approaching or have passed the freshness threshold described above. Such notices are provided as a courtesy only and may not reflect real‑time status. You remain solely responsible for monitoring, maintaining, refurbishing, updating, exporting, or backing up any content you wish to preserve, and for taking timely action to prevent unwanted deletion.
3.7 Subscription Status and Access to Content: Your ability to access, edit, refurbish, or otherwise manage Blog Curator posts is tied to an active, paid subscription (or other qualifying access arrangement) for the relevant account or workspace. If your subscription lapses, is cancelled, or is not kept in good standing, we may restrict or disable access to certain features, including editing and refurbishing tools, and we may delete stale posts in accordance with Section 3.3 and our broader content lifecycle policies.
3.8 No Refunds for Content Removal: Because the Blog Curator is a usage‑based publishing tool and not a perpetual hosting or archival service, you acknowledge and agree that the removal of posts in compliance with this content lifecycle policy does not entitle you to any refund, credit, or other compensation, even if you previously paid to create or promote such posts, and even if you failed to maintain an active subscription or to refurbish the content in a timely manner.
Service Maintenance & Availability
To keep the SEO Web Analyst® platform secure, stable, and up to date, we perform regular system maintenance and upgrades. During these maintenance windows, parts of the Site or the entire service may be temporarily unavailable.
We aim to keep all scheduled maintenance within a minimum of 24 hours and a maximum of 3 days. You agree that such maintenance periods are a normal and necessary part of operating the service.
We will notify you of scheduled maintenance via in-app notifications on your dashboard. You are expected to log in to your account regularly to review important service notices, including upcoming maintenance windows.
In the rare event that scheduled maintenance extends beyond 3 days of continuous unavailability of the SEO Web Analyst® software, we may, at our discretion, provide an incentive in the form of a 5% discount coupon. This coupon can be applied to your next subscription purchase of the SEO Web Analyst® software, subject to any additional conditions or expiry dates communicated with the coupon.
Changes to Terms
We may update these Terms periodically. Continued use of the Site after changes indicates acceptance of the updated Terms.
